Российский закон видит в токенизированной ценной бумаге особый объект – цифровой финансовый актив, гонконгский – обычную ценную бумагу, сменившую форму учета. В статье эти конструкции проверяются на трех участках: где возникает и переходит право, кто допущен к сделкам, чем защищен инвестор. Разбираются долговые цифровые финансовые активы, программа «LEAP», практика арбитражных судов и Конституционного Суда РФ, дело Re Gatecoin; итогом служат рекомендации эмитентам, кредиторам и участникам трансграничных проектов.

Russian law treats a tokenized security as a distinct object – a digital financial asset; Hong Kong law treats it as an ordinary security that has merely changed its form of record-keeping. The article tests these constructions at three points: where a right arises and passes, who is admitted to transactions, and how the investor is protected. It discusses debt digital financial assets, the LEAP programme, the practice of Russian commercial courts and the Constitutional Court, and the Re Gatecoin case; the outcome is a set of recommendations for issuers, creditors and participants in cross-border projects.
